At Conversys IT Solutions, we believe that ethics and responsibility are the pillars of our success. More than a code of conduct, this document represents the commitment we make to our employees, clients, partners and society as a whole.

By following the principles set out here, we build a positive, transparent and safe working environment, where every individual feels valued and respected. Through ethics, we generate positive impacts for all our stakeholders and contribute to a more sustainable future.

1. SCOPE

This code applies to all Conversys IT Solutions employees, regardless of position, role or length of service. It also covers our partners, suppliers and other stakeholders who interact with the company.

2. DESIRED BEHAVIOR

Conversys IT Solutions employees must act and be guided by the following principles:

  • Integrity: Acting honestly, fairly and uprightly in all your actions, honoring your commitments and fostering an environment of trust. This means acting with integrity, even when no one is watching. It is important that the employee makes decisions that are in line with the company's values and principles, refusing to compromise integrity in the face of external or internal pressure. In addition, they must be transparent about their actions and report any possible conflict of interest.
  • Transparency: Transparency is crucial to building and maintaining solid relationships, both inside and outside the company. Employees must be clear, objective and precise when communicating with all stakeholders. They must share relevant information honestly and completely, allowing stakeholders to make informed decisions. By being transparent, employees promote trust and build lasting relationships with clients, coworkers and business partners.
  • Respect: Treating all people with dignity, regardless of their position, origin or opinions, valuing diversity and inclusion. In addition, it is important to recognize and respect cultural, social and individual differences, thus promoting an inclusive and collaborative environment. They must treat and be treated with respect, equally, and any manifestation or kind of abuse of power, discrimination, threats, intimidation, violence or moral or sexual harassment is forbidden.
  • Responsibility: Taking responsibility for your actions and decisions is an essential characteristic for success at Conversys IT Solutions. This means fulfilling commitments, meeting deadlines and targets, and recognizing and correcting mistakes when necessary. In addition, you must act with care and attention, recognizing the impact of your activities on the environment and the community.
  • Professionalism: Working effectively as part of a team, collaborating with colleagues in a constructive and respectful manner. Maintain appropriate behavior in the work environment, demonstrating competence and commitment. Professionalism is a reflection of the employee's commitment to excellence in their work at Conversys IT Solutions. This involves communicating clearly and transparently, sharing relevant information and contributing to a positive and productive working environment.
  • Innovation: Constantly seeking to improve your processes and products, exploring new technologies and ideas for the future. This involves being creative, flexible and open to change. Conversys employees must encourage creativity and the search for innovative solutions, fostering an environment conducive to experimentation and learning.

3. COMPLIANCE

At Conversys IT Solutions, compliance is an essential commitment. We are dedicated to complying with all laws and regulations applicable to our operations. This includes keeping accurate and transparent records, combating corruption and harassment, protecting personal data and adopting ethical practices in all areas of activity. Conversys IT Solutions employees must adhere to the company's compliance guidelines:

  • Anti-corruption: We vigorously combat any form of corruption, bribery or kickbacks. At Conversys IT Solutions, all business transactions and interactions must be conducted with integrity and transparency, in full compliance with applicable anti-corruption laws and regulations.
  • Accounting: We maintain accurate and transparent accounting records in compliance with applicable accounting and regulatory standards. The integrity and accuracy of financial information is fundamental to guaranteeing the confidence of investors, clients and other stakeholders.
  • Anti-harassment: Any form of moral or sexual harassment in the workplace is strictly prohibited. We are committed to maintaining a safe, respectful and inclusive environment for all our employees, where harassment is dealt with seriously and promptly.

We believe that every individual deserves to be treated with dignity and respect, regardless of their position, gender, race, religion, sexual orientation or any other personal characteristic.

  • Competition Law: We act fairly, transparently and competitively in the market, in full compliance with antitrust and competition laws. We seek to promote fair and ethical competition, respecting the rights of competitors and consumers.
  • Personal Data Protection: We make every effort to promote the security and privacy of the personal data of our clients, employees and partners. We adopt measures to comply with data protection laws, their regulations and any applicable industry standards to protect private information from unauthorized access or misuse.
  • Information Security: At Conversys IT Solutions, we implement robust security controls and clear policies to guarantee the confidentiality, integrity and availability of company and client data. We protect confidential company information from unauthorized access.

In order to guarantee the excellence of our service and mitigate the risks of data leaks and sensitive business information, it is essential that everyone adopts good information security practices in their daily activities.

  • Use of Company Assets: Conversys IT Solutions makes its assets, such as equipment, electronic devices and IT systems, available for exclusive use in legitimate business activities, which must be protected by employees and intended for use in favor of Conversys IT Solutiosn, its customers and/or stakeholders involved in the business. We are committed to using company resources responsibly and ethically. All employees are expected to act diligently in compliance with the policies and procedures relating to the use of corporate assets.
  • Home Office: On certain occasions, Conversys IT Solutions allows remote working and, in these cases, we seek to promote a suitable and safe working environment for our employees who work remotely. We offer guidelines and resources to ensure the productivity and well-being of employees at home, which must be strictly followed.
  • Conflict of Interest: We avoid situations that could compromise the company's impartiality. At Conversys IT Solutions, it is essential that employees avoid conflicts of interest and always act in the best interests of the company and its clients. If you become aware of a situation in which personal interests and/or those of third parties may influence your decision, we must notify the company's management so that safe measures can be adopted to avoid risky or even embarrassing situations later on.
  • Suppliers: We require our suppliers to comply with principles of integrity and social responsibility. At Conversys IT Solutions, we value partnerships with suppliers who share our values and are committed to fair, sustainable and socially responsible business practices.

Purchasing decisions must take into account the reliability and integrity of suppliers, as well as the value of the offer, with both short- and long-term objectives in mind. It is important that employees avoid doing business with suppliers with dubious reputations. In addition, suppliers should not have personal relationships with the employees responsible for approving transactions, in order to avoid conflicts of interest.

All procurement processes must be properly documented for future reference as to the suitability, motivation and advisability of the contracts, and the accounting records must accurately reflect all payments made.

  • Community: We contribute to the development of the communities where we operate. We are committed to making a positive difference through corporate social responsibility programs, volunteering and support for community initiatives.
  • Sustainability and the Environment: We believe that the sustainable use of the environment is one of the essential conditions for economic development. We are therefore committed to the ecological cause and to mitigating any adverse impacts on the environment resulting from our business activities. Conversys IT Solutions' employees, partners and clients are responsible for the rational use of material resources and the correct disposal of waste produced, recycling whenever possible.
  • Corporate Governance: We maintain a transparent and effective governance system to ensure accountability and responsible decision-making. We follow high standards of corporate governance to promote the confidence of investors, clients and other stakeholders.
  • Workplace Safety: We seek to ensure a safe and healthy working environment for all employees, providing facilities and protective equipment appropriate to each of the activities carried out in its operations. Conversys IT Solutions employees, partners and clients must also follow all the health and safety rules and procedures applicable to the corporate environment when carrying out their duties.

4. Complaints channel

5. Sanctions

Those who demonstrably fail to comply with the provisions of this Code of Ethics, ascertained through an internal procedure, may be penalized according to the seriousness of the conduct, ranging from warnings to termination of the contract with Conversys IT Solutions, without prejudice to the adoption of measures seeking to cease any harmful acts and compensation for losses caused as a result of such non-compliance.

6. Review and Update

This code will be reviewed and updated periodically to ensure that it is in line with the best market practices and the company's needs.

7. Agreement

By adhering to this code, the employee undertakes to follow the principles and standards set out herein.
